1. Definitions
"We / us / our" means Staff4U, operated as part of the Ad Nova Group. "You / your" means the employer (or prospective employer) registering for recruitment services. "Candidate" means a person we introduce or supply to you. "Introduction" means we provide you with a candidate's details, or you interview a candidate following our introduction.
2. Our service
We find, screen, and introduce candidates for permanent and temporary roles. We verify right-to-work, qualifications, and references to the extent we have agreed with you in advance. You remain responsible for your own employment decisions, offers, contracts, and legal obligations as an employer.
3. Permanent placement fees
Placement fee: 12% of the candidate's first-year base salary, subject to a minimum fee of £1,000.
The fee is calculated on the annual gross salary (excluding employer pension and NI). Where a salary is not disclosed, we will agree a fair market rate before the introduction. The fee becomes payable once the candidate accepts your offer and starts work (or on the agreed invoice date, whichever is earlier).
4. Temporary / contract supply
Charge rate: the candidate's pay rate plus a 20% margin.
For temporary or contract workers supplied through Staff4U, we invoice you the agreed charge rate. You are invoiced weekly (or as otherwise agreed) for hours worked and confirmed by you. We are responsible for the worker's PAYE, NI, holiday pay, and pension contributions as their employer of record.
5. Invoicing and payment
All invoices are due 14 days from the invoice date. Payment by BACS to the bank details shown on the invoice. VAT is charged at the prevailing rate where applicable. Late payment: we may charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998. We may pause further introductions while an invoice remains unpaid beyond 30 days.
6. Rebate and replacement guarantee
If a permanent candidate leaves (or you terminate) within 8 weeks of their start date, we will provide a free replacement search or a full refund of the placement fee.
The rebate is not payable if the departure is due to redundancy, a change in your business circumstances, or a breach of your obligations. One rebate applies per role. For temporary workers, we will make reasonable efforts to provide a replacement promptly at no additional introduction fee.
7. Temporary-to-permanent (temp-to-perm)
If you offer a temporary worker supplied by us a permanent position within 12 weeks of their first supply, a permanent placement fee applies (12% of first-year salary, min £1,000), less any margin already paid. This does not apply where we have agreed a separate transfer fee in writing.
8. Your obligations
- Provide accurate role requirements and treat candidates fairly and lawfully.
- Confirm a candidate's start in writing so we can invoice correctly.
- Notify us immediately if you hire or engage any candidate we introduce, including through other channels within 6 months of introduction.
- Comply with all employment law, health and safety, and working-time obligations.
9. Right to work
We carry out right-to-work checks before introduction as required by the Conduct Regulations 2003, and provide you with the evidence. You are responsible for conducting your own checks before employment, as required by the Immigration, Asylum and Nationality Act 2006.
10. Confidentiality
You agree to keep confidential our fee structures, terms, and any commercially sensitive information about candidates or other clients. We will keep your business details confidential except as needed to provide the service.
11. Data protection
We process your data and candidate data under the UK GDPR. You are an independent data controller for candidate data you hold. Our Privacy Notice applies to how we handle your business contact details.
12. Liability
Nothing in these terms limits liability for fraud, death, or personal injury caused by negligence. Subject to that, our total liability to you in connection with any introduction or supply is limited to the fees paid to us for that introduction. We are not liable for the acts or omissions of candidates, or for any indirect or consequential loss.
13. Termination
Either party may end this relationship on 30 days' written notice. Fees already earned remain payable. A candidate introduced before termination remains subject to these terms.
14. Law and jurisdiction
These terms are governed by the law of England and Wales, and any dispute is subject to the exclusive jurisdiction of the English courts.
